Terms of sale

These terms apply to any order, accepted quote or subscription entered into with IT NEAT for the MainteNeat Service. Any conflicting Customer terms are unenforceable unless agreed in writing.

Commercial offers are based on the described scope (sites, modules, onboarding). A quote may set special terms that prevail over these terms of sale in case of conflict.

• Prices are stated in Moroccan dirhams (MAD), excluding taxes, unless otherwise indicated
• Billing follows the agreed frequency (monthly, yearly or other)
• Late payment may result in penalties and/or Service suspension after formal notice

The subscription runs for the term stated in the quote or contract. Unless terminated within the contractual notice period, it may renew according to the parties’ agreement.

Depending on the offer, IT NEAT may help with initial setup, data import and training. Communicated timelines are indicative unless a firm date is committed in writing.

• Provide accurate information for subscription and billing
• Appoint a contact for deployment and support
• Use the Service in line with the terms of use and applicable law
• Pay invoices when due

As the Service is offered to professionals, consumer withdrawal rights do not apply, except where mandatory law provides otherwise.

Either party may terminate under the conditions set in the quote/contract (notice, material breach, etc.). At the end of the contract, the Customer may request an export of its data in a reasonably accessible format, subject to any outstanding amounts.

IT NEAT provides the Service under a best-efforts obligation unless otherwise stated. Any commercial warranties are those in the quote or contract. Liability is limited, to the extent permitted by law, to direct damages and the amounts paid for the Service over the preceding twelve months.

These terms of sale are governed by Moroccan law. The parties shall seek an amicable resolution before litigation. Failing that, the courts of Morocco have exclusive jurisdiction.
